Seller / Owner Agreement – RentalPay Effective Date: May 2026 Platform: RentalPay 1. INTRODUCTION This Seller / Owner Agreement (“Agreement”) governs users who list clothing or fashion-related items for rent on RentalPay. By listing items on RentalPay, you (“Owner,” “Seller,” or “User”) agree to comply with: This Agreement The Terms & Conditions Community Guidelines Privacy Policy All applicable laws and regulations If you do not agree, you must not create listings on the platform. 2. PLATFORM ROLE DISCLAIMER RentalPay is solely a technology marketplace facilitating peer-to-peer rental transactions. RentalPay: Does NOT own listed items Does NOT guarantee renter behavior Does NOT physically inspect every item Does NOT guarantee bookings or earnings Does NOT provide insurance unless explicitly stated Owners use the platform entirely at their own risk. 3. ELIGIBILITY TO LIST ITEMS To create listings, Owners must: Be legally eligible to enter contracts Provide accurate account details Maintain valid payout information Comply with platform verification requirements RentalPay may request: OTP verification Identity verification Ownership confirmation Additional compliance information Failure to comply may result in restricted listing access. 4. OWNERSHIP REPRESENTATIONS By listing an item, the Owner represents and warrants that: The item legally belongs to them or they possess lawful rental rights The item is authentic unless clearly disclosed otherwise The listing does not infringe intellectual property rights The listing is truthful and accurate Uploaded images genuinely represent the item Owners are solely liable for counterfeit or infringing products. 5. PROHIBITED ITEMS Owners may NOT list: Counterfeit designer goods Replica products Illegal items Dangerous items Stolen property Offensive or explicit content Biohazardous or unhygienic items Items violating applicable law RentalPay may remove prohibited listings without notice. 6. ITEM CONDITION & HYGIENE Owners agree to provide items that are: Reasonably clean Wearable Hygienic Functional as described Owners should disclose: Existing damage Missing accessories Alterations Wear-and-tear issues Failure to disclose major defects may result in: Refund obligations Listing restrictions Account penalties 7. LISTING ACCURACY Owners are responsible for ensuring: Correct pricing Accurate descriptions Proper category selection Correct sizing information Availability accuracy Misleading listings may result in: Reduced visibility Listing removal Suspension 8. BOOKINGS & RENTAL RESPONSIBILITIES Owners agree to: Honor confirmed bookings Make items available on time Cooperate during pickup and return Communicate professionally Repeated booking cancellations may result in penalties or suspension. 9. SELF-PICKUP & RETURN RentalPay currently operates using: Self-pickup Self-drop/return Owners are responsible for: Coordinating pickup arrangements Ensuring safe exchange communication Verifying item condition during return RentalPay does not supervise physical exchanges. 10. PAYOUTS Owners may receive payouts through: UPI Bank transfer Other supported payout methods Owners are responsible for: Accurate payout details Tax obligations Compliance with financial regulations RentalPay may delay or hold payouts for: Fraud review Disputes Chargebacks Policy violations Risk analysis 11. SECURITY DEPOSITS & DAMAGE CLAIMS Owners may request compensation for: Damage Permanent stains Missing accessories Non-return Excessive wear Owners must provide reasonable evidence where requested. RentalPay reserves final discretion regarding: Deposit deductions Compensation review Dispute outcomes False damage claims may result in account penalties. 12. TAXES & LEGAL COMPLIANCE Owners are solely responsible for: Tax reporting GST compliance where applicable Declaring earnings Compliance with Indian laws RentalPay does not provide tax or legal advice. 13. CONTENT LICENSE By uploading listings or media, Owners grant RentalPay a worldwide, non-exclusive, royalty-free license to: Display Store Compress Promote Reproduce such content for platform operations, marketing, moderation, and business purposes. Owners confirm they possess rights necessary for uploaded content. 14. ACCOUNT RESTRICTIONS & TERMINATION RentalPay reserves the right to: Remove listings Freeze payouts Restrict visibility Suspend accounts Permanently terminate access without prior notice where necessary for: Fraud prevention Safety Legal compliance Policy enforcement 15. NO GUARANTEE OF EARNINGS RentalPay does not guarantee: Rental frequency Booking success Visibility Revenue generation Continuous platform traffic Performance depends on market demand, pricing, item quality, and user behavior. 16. LIMITATION OF LIABILITY To the maximum extent permitted by law, RentalPay shall not be liable for: Lost profits Missed bookings Item damage caused by renters Theft Counterfeit disputes User misconduct Payment delays Platform outages Indirect losses Total liability, if any, shall not exceed the amount directly paid to RentalPay in relation to the affected transaction. 17. INDEMNIFICATION Owners agree to indemnify and hold harmless RentalPay and its affiliates against claims arising from: Illegal listings Counterfeit products Copyright/trademark violations Fraud Misrepresentation Unsafe products User disputes 18. POLICY MODIFICATIONS RentalPay may update this Agreement at any time without prior notice. Continued use of the platform constitutes acceptance of revised terms. 19. GOVERNING LAW This Agreement shall be governed by the laws of India. Any disputes shall fall under the jurisdiction of courts located in Nagpur. 20.
